Job Summary

We are seeking a highly experienced and skilled Corporate Counsel Lawyer with over 5 years of post-qualification experience (PQE) gained at a reputable law firm with some in-house experience preferable. This role involves providing expert legal advice on corporate aspects of complex cross border real estate infrastructure projects, with specialist expertise in company law and the implementation and maintenance of corporate structures including advising global leadership on company formation, maintenance, funding documentation and all corporate governance matters.

  

Key Responsibilities 

  • Structure, draft and review documents, articles of association, minutes of board and shareholders meetings, funding documentation, including intercompany loan agreements and any related contractual documentation;
  • manage board meetings and advise on corporate approvals required in Luxembourg;
  • work on a wide range of domestic and international corporate structures including implementation, assisting on all AML and KYC matters;
  • assisting with the negotiation and project management of financing transactions whether construction loan or permanent financing/refinancing;
  • collaborate on general and day-to-day corporate and commercial matters, including the drafting, negotiation and administration of contracts;
  • manage the corporate legal work involved in key real estate projects end to end including liaising with specialist international legal, finance and tax advisers where appropriate;
  • advise and stay abreast of and assist the global legal team with new developments in laws, regulations, case law and corporate legal doctrine in Luxembourg;
  • assist in the development of company policies for Luxembourg and other jurisdictions as needed;
  • advise and guide managers to ensure compliance with contractual obligations, law and company policy.

Requirements

Qualifications
Admission to bar in Luxembourg or eligibility to be registered on List IV of the Luxembourg Bar.

Preferred Experience

  • At least 5 years PQE gained in the corporate team of a top tier law firm or similar environment in Luxembourg, ideally specializing in general company law, domestic and cross border M&A, and/or upstream and downstream private equity experience, with a focus on real estate investment structures.
  • Commercial experience and/or in-house experience in the construction or real estate sectors preferred but not essential.

Skills Required

  • Excellent analytical, and strategic thinking skills.
  • Fluent in English. Language skills in German, French and/or Luxembourgish will be considered a strong asset.
  • Friendly, helpful, collegiate, independent and proactive team player with great communication skills.
  • Ability to handle multiple complex projects simultaneously and deliver under tight deadlines.
